General Conditions of Electronic Marketing Agreement

Personal data of Supplier and Author

1. Content of Agreement

a.) Author hereby agrees to permit the supply of the electronic versions of its books, their file format in PDF, MS Word (graphics agreed in advance) by Supplier. Author agrees furthermore, to provide the proper cover (graphics) of the book. The length of the Book shall be agreed in the size of file in advance.

b.) Author declares that the given Work to Supplier is his own intellectual property, in case of forfeiture, Supplier has the right to suspend the electronic supply of the Work and shall claim to be compensated for the occurred financial and moral damages.

2. Online Supplying right

a.) Author confers the right upon Supplier to supply the Book under the following terms:

- Any types of electronic copy and supply, in the format of electronic Books, any time during the period of Agreement. Format is determined by Supplier.

- Online marketing (1 security Copy is to be created on a digital drive).

b.) Supplying right is exclusive to terms of 2.a.). Exclusive right shall not be conferred upon Third person. Supplier has the right to supply on Hungarian and or foreign (Internet web sites) for undetermined period of the making of this Agreement.

3. Performance

a.) Author agrees to place the manuscript at Supplier's disposal (the electronic version of the manuscript) in one copy, recorded on a CD or DVD or sent by email, in the format of MS Word or PDF within two weeks following the day of agreement. A Book (s), provided in an improper format or copy, shall not be corrected or amended by Supplier.

b.) Supplier shall confirm the acceptance of the manuscript (electronic version) of the book within a period of two weeks following the receipt of the manuscript by email if it is sent in proper format.

c.) Author shall provide a correct text in proper spelling. Supplier shall reserve all right not to supply a work in improper spelling or any work of improper content.

d.) Supplier shall offer the accepted manuscript, in PDF file format, to download from its website (www.adamobooks.hu) within one month following approval. If the approved manuscript is not uploaded on the website within the period written in the aforementioned clause by Supplier, agreement may immediately be terminated by Author.

4. Payments to Author

a.) The value

- The value of payment, in the case of an unlimited period, for a general (online and other electric) supply, is included in a specific agreement (gross).

b.) Payment to Author shall be made every quarter of a year: within a period of three months following the undersigning of this Agreement, till 15th of the month. The lowest sum of payment to Author is HUF 10.000 (ten thousand Hungarian Forints).

c.) Payment shall be made to Author: by transfer to the Author's own savings account and his own bank.

5. Termination, breach of agreement

a.) General Agreement may be terminated by Supplier:

- In case of a delayed submission of the manuscript by the Author, Supplier has the right to terminate the agreement after a single warning, within 30 days following the making of the agreement.

- If the website (www.adamobooks.hu) may not be operated in technical event, by no failure of the Supplier and for maximum three months. If payments to Author are to be suspended for an indefinite period by Supplier. Authors and other contracting parties shall be informed about the case in the most detailed way.

In case of the above, Supplier is not liable for the occurred financial loss but in case of request by partners, a law suit is to be filed against the damaging Third Party by Supplier.

b.) General Agreement is to be terminated by Author:

- In the event the Work has not been uploaded for sale on the website of Supplier in the proper file format by Supplier till the deadline of the agreement (see Term 3).

- In the event incomes, time proportionate payments to Author have not been transferred to the savings accounts, given by the Author.

- In other justified events (in writing).

c.) Time of Termination, within 30 days following written receipt.

6. Secrecy

Any Business information, confidential data of the electric book store (www.adamobooks.hu) shall be kept strictly confidential by contracting parties (Author, Supplier). Forwarding or having confidential information sent to Third Party shall be detained.

7. Good reputation of electronic book store shall be kept by Author and Supplier

8. Availabilities of Author and Supplier

Name, address, phone number

Parties (Author, Supplier) shall inform the other contracting party about the changes of their addresses within 8 days. Forfeit of HUF 5000.-, for every negligent day, shall be paid to the non-negligent Party by the negligent Party in case of delayed information.

9. Miscellaneous

This agreement was made in 3 original, literally equal copies, two of them belong to Supplier and one copy belongs to Author. This Agreement shall be governed by the Copyright Act 1999: LXXXVI 1999 and the Civil Code.

For all matters, legal disputes between Author and Supplier, shall be exclusively settled under the Rules of the Court of 'Békés' County.

This Agreement was signed by the contracting parties (Author, Supplier) agreed to their own will and by their own hand this day.
